Maybe the NSA forced them to preload each chip with a hidden copy of NSA spyware, reducing the amount of free space available to you. 

Maybe NSA spyware uses the invisible portion of the card to cache recordings from your phone's microphone, camera, and screenshots of what you've been doing while you were outside of wireless data network range.

Perhaps there was low yield on 256GB silicon, so they marked some of the cells as "bad" and then sell the remaining working silicon as a reduced capacity 200GB card.

Maybe the data failure rate at this density was so bad they decided to dedicate a portion of the silicon for storing ECC error correction codes to work around the problems. ECC data reduces the amount of space available for your use.

IIRC, it is 200GB because at the point of market introduction, the flash process size and their manufacturing technique could not fit more than 200GB in a mSD form factor.
